While Betfair has always had a predatory Minimum Player Rule, they have increased that rule to be effective during a 3 month period (was previously a 6 month period).

Net Revenue Calculations
Net Betting Casino Winnings means total winnings from Customers (stakes received less winnings paid out) generated by the casino product accessible via the www.casino.betfair.com website or any downloadable client less any payments to third party software providers, the cost of any promotional offers (including any sign up bonuses), adjustments made for any credit card charge-backs or any other reversal of a payment, fraudulent or otherwise voided or modified transactions, bad debt, and liability to any betting duty or licensing fees for data or other duty, tax or expense that may arise;

Commission means total commission generated from Customers exchange betting less adjustments made for any credit card charge-backs or any other reversal of a payment, fraudulent or otherwise voided or modified transactions, bad debt, the cost of any promotional offers (including any sign up bonuses), payments to any sporting bodies (including any football governing bodies and the British Horseracing Authority or any similar body in any jurisdiction) and liability to any betting duty or licensing fees for data or other duty, tax or expense that may
Net Casino Winnings
Net Fixed Odds Winnings means total winnings from Customers fixed odds betting (stakes received less winnings paid out) generated by the casino product accessible via the www.casino.betfair.com website or any downloadable client less any payments to third party software providers, the cost of any promotional offers (including any sign up bonuses), adjustments made for any credit card charge-backs or any other reversal of a payment, fraudulent or otherwise voided or modified transactions, bad debt, the cost of any promotional offers (including any sign up bonuses), payments to any sporting bodies (including any football governing bodies and the British Horseracing Authority or any similar body in any jurisdiction), hedging costs and liability to any betting duty or licensing fees for data or other duty, tax or expense that may arise;
;Net Revenue means the total of Net Arcade Winnings, Net Betting Exchange Commission, Net Fixed Odds Winnings, Net Multiples Winnings, Net Games Commission, Net Poker Rake and Net Casino Winnings generated by Customers;
parties means the parties to this Agreement;
Revenue Share means the revenue share payments described in Clause 4.3;


Playing on your own affiliate tag
3.2 You agree that:(a) neither you nor your Immediate Family may not become Customers and you shall not be entitled to any payment under this Agreement in relation to such persons;(b) Betfair may monitor the Internet Site to ensure you are complying with the terms of this Agreement and you will provide Betfair with all data and information including passwords to enable Betfair to perform such monitoring at no cost to Betfair; and(c) the Electronic Commerce (EC Directive) Regulations 2002 will not apply to this Agreement.


Minimum Activity Rule
4.3 Subject to these terms, if you select a Revenue Share Betfair shall pay you in respect of each Customer:(a) the selected agreed percentage of Net Betting Exchange Commission and Net Multiples Winnings for a period of 36 months from the date of first registration if such Customer is introduced on or after 1 August 2011;(b) the selected agreed percentage of Net Betting Exchange Commission and Net Multiples Winnings for a period of 12 months from the date of first registration if such Customer is introduced before 1 August 2011; and (c) the selected agreed percentage of Net Fixed Odds Winnings for as long as a Customer has an account with Betfair or a Group Company if such Customer is introduced on or after 1/11/12; and (d) the agreed percentages of Net Arcade Winnings, Net Games Commission, Net Poker Rake and Net Casino Winnings for as long as a Customer has an account with Betfair or a Group Company.

4.4 If you are paid by Betfair on a Revenue Share basis and you do not introduce any Customer for a period of six three (6) 3) consecutive months, Betfair reserves the right to pay you will be paid no more than 5% of Net Revenue in respect of Customers introduced by you until you introduce a total of three new CustomerCustomers, at which point (after the introduction of the third Customer) your rate of commission will revert to the level it was before it was reduced in accordance with this clause.


Player Conversion
4.14 In the event that a Customer:(a) has been introduced in breach of any term of this Agreement;(b) makes an initial deposit which is subject to a chargeback or which is reversed for any other reason;(c) uses your Refer and Earn code or that of a member of your Immediate Family (or the code relating to any similar or replacement Betfair customer referral scheme) when signing up for an account;(d) opens an account using a promotional code which you have promoted and which is either expired or has not been approved by Betfair for you to promote;(e) fails any identity or credit checks carried out by Betfair or on its behalf;(ebehalf;(f) is located in a territory from which the Betfair and its Group Companies does not accept customers; or(f) (g) is suspected by Betfair of (i) acting in breach of the terms and conditions governing his/her account, betting/gaming transactions, and/or any marketing promotion; or (ii) any fraudulent or dishonest activity; (h) has their account closed within 25 Business Days of the account openingyou opening; or(i) becomes known to Betfair as a person who does not properly fall within the definition of a Customer, being a person who had already opened an account with Betfair or a Group Company at the time he/she opened an account by using a Code or by clicking on the Links on the Internet Site you will not be entitled to receive any Affiliate Payments in respect of such Customer. In the event that any such payment has already been made to you in respect of such Customer you will promptly repay the amount paid on receiving notice from Betfair. Betfair will be entitled, but not obliged, to set-off any amount owed as a result against future Affiliate Payments


Termination
14.2 Betfair may terminate this Agreement immediately in the event that:(a) the Affiliate breaches any of the terms of this Agreement which, in the case of a breach capable of remedy, has not been remedied within five (5) Business Days of receipt of a notice from Betfair specifying the breach and requiring its remedy;(b) the Affiliate suspends, or threatens to suspend, payment of its debts or is unable to pay its debts as they fall due, begins negotiations for or makes any voluntary arrangement with its creditors, becomes subject to an administration order, has an administrative receiver or receivers appointed in respect of the whole or any part of its assets, goes into liquidation (voluntary or otherwise save for any voluntary liquidation entered into solely for the purposes of a bona fide reconstruction or amalgamation);(c) the Affiliate is made the subject of a bankruptcy petition or order;(d) the Affiliate ceases or threatens to cease carrying on its business;(e) the Affiliate, in Betfairs opinion, is in breach of the terms of any applicable advertising code of practice including the CAP code and any voluntary codes Betfair has agreed to abide by; (f) Betfair ceases to accept Customers from or to advertise in any jurisdiction which is targeted by the Internet Site; or (g) fails to change the web address of the Internet Site on Betfairs request in accordance with clause 3.1(e).14.3 3.1(e); or(h) Betfair determines that the Internet Site is generating fraudulent traffic or that the Affiliate is engaged in collusion with any other person. Collusion in this context means an attempt by an Affiliate, a group of Affiliates, or a group which includes individuals who are not Affiliates under the Affiliate Programme to create fraudulent income with a coordinated effort. 14.3 Clauses 14.2(b) and (c) will apply if any event occurs, or proceeding is taken, with respect to the Affiliate in any jurisdiction to which it is subject that has an effect equivalent or similar to any of the events mentioned in those clauses.


Affiliate Obligations
3. AFFILIATES OBLIGATIONS3.1 You warrant and undertake that:(a) you have full capacity and authority to enter into this Agreement and any other documents executed by you that may be associated with this Agreement;(b) you will at all times conduct yourself with all due skill, care and diligence, including Good Industry Practice, and in accordance with your own established procedures and all applicable laws, enactments, orders, regulations and other similar instruments;(c) instruments; (c) you will not make an Application or introduce any Customers as an Affiliate if you are in the employment of Betfair or a Group Company; (d) you will comply with Betfairs security guidelines and requirements as may be issued by Betfair from time to time whether in writing or otherwise;


Term and Termination
14. Summary: Please read all terms changes above. Betfair is still considered a predatory program and it is not advisable to promote their casinos unless you wish to lose money (i.e., get a revshare droppage to 5%) when THEY cannot convert your clicks into players.

Minimum Player Rule - Date Restriction Removed
5.4.8 Please note, this term is only applicable to Affiliates who accept these Terms and Conditions after August 1st 2012. If You do not send an active depositing player within a 3 month period, Your Commission will drop to 10% per calendar month. Should the amount of depositing players increase to one or more after which your Commission is reduced, your Commission will revert to back 25% from the date in which the active depositing player was sent.


Affiliate Payments
5.3.2 Payment shall be made by Us to You by way of the method selected by You on registration, but only at the market exchange rate in US dollarsor , UK poundsat , Euros, Australian Dollar, Canadian Dollar, Danish Krona, Swedish Krona, Norwegian Krona, or one of the market exchange rateother payment currencies available to WagerShare affiliates.


Casino Bundling
5.5 Ring Fencing of Affiliate Funds (This applies ONLY to affiliates registering from 7th of January 2013). If, in any given month, Your Account reflects a negative net win balance for one brand and a positive net Win balance for another brand, then the positive Net Win balance will be off-set against the negative balance for that given month. For example, if brand A has a negative Net Win of (-) $5, and brand B has a positive Net Win balance of (+) $6, Your Account will reflect a total of (+) $1.


Summary: We all know... AGD is not a fan of what Wagershare does to affiliates. This is yet another example, IMO.

While we will have to do a complete re-review of the Mr. Affiliate program, below are some of the 'highlights' of their changes which will affect your term and termination.

Marketing Activity Clause
3.1 The Affiliate shall perform the services actively, by effectively advertiseadvertising, market marketing and continuously using its best efforts to promote the Website as widely as possible. For the avoidance of doubt, the Affiliate understands and accepts that the Company shall in order its sole and absolute discretion determine whether potential New Customers (as defined below in Clause 4.1) shall be accepted or not. The Company shall also in its sole and absolute discretion be entitled to maximize determine whether to close New Customer's account if it, in the benefit sole opinion of the Company, is necessary to comply with the PartiesCompany's policy and/or to protect the interest of the Company and/or Mr Green.


Marketing Rules
3.5 The Affiliate shall at all times conduct its business in a manner that reflects favorably upon the high quality image of the Company and/or Mr Green. The Affiliate shall engage in good business practice and comply with all applicable laws and regulations. In specific, all of the content of the Affiliate Sites and the Affiliate's marketing activities must be professional, proper and lawful under applicable laws, and in accordance with the terms of this Agreement.

3.6 The Affiliate may not purchase, attempt to register, or register keywords, search terms or other identifiers for use in any search engine, portal, sponsored advertising service or other search or referral service and which are identical or similar to any of the Company's and/or Mr Green´s trademarks or otherwise include the word "Mr Green" or variations thereof, or include metatags on the Affiliate Sites Site(s) which are identical or similar to any of the Company's and/or Mr Green´s trademarks and/or the Website.

. 3.11 The Affiliate shall not promote the Company, Mr Green or the Website and/or create pages using Mr Green trademarks, brands or slogans in any social media.


Fraud
3.9 The Affiliate agrees that it will shall not generate traffic to the Website by illegal or fraudulent activitymeans, particularly but not limited to sending spam, cookie spam or registering as a playeror . Further, the Affiliate agrees that it shall not make deposits directly or indirectly to any player account through his tracker(s) for its own personal use and/or the use of its relatives, friends, employees or other third partiestracker(s), or in any other way attempt to artificially increase the commission payable or to otherwise defraud the Company. Violation of this provision shall be deemed to be fraud.


Commissions
4. Payment of commission
4.1 The Company shall pay the Affiliate a commission of 35% calculated on the net revenue generated from new customers based in the European Union and referred by the Affiliate Sitesas specified below. The commission shall be paid for continuouslyis based on the number of New Customers, for as long as the new customer holds an account at defined below in this Clause, who access the Website . Net revenue is via clicking the gross revenue generated from a player's bets and losses (tracking links on the game win) less banking fees, license fees and bonus fees from game win. The fees are a total of 28%Affiliate Sites. "New customers Customers" shall mean customers of the Company Mr Green who do not yet have, and have not had an account with Company Mr Green and who access the Website via clicking the tracking links on the Affiliate Sites, properly register and then make real money transfers at least equivalent to the minimum deposit into their Website website account.
4.2 The commission granted by the Company to the Affiliate will be calculated as a percentage share of the Net Revenue generated from the New Customers referred by the Affiliate Sites. Net Revenue is the revenue generated from New Customer's real money bets less real money won during that same calendar month less any applicable taxes or levies less a fixed fee of 28%.
4.3 The size of the commission (the Affiliate's percentage share of the Net Revenue) for each month depends on the total number of New Customers which has been referred to the Company by the Affiliate Sites during that same calendar month as specified in the commission structure as set out below: Number of New Customers per month Affiliate's Net Revenue share 0 - 1 25% of the Net Revenue 2 - 4 30% of the Net Revenue 5 - 14 35% of the Net Revenue 15 - 29 40% of the Net Revenue 30 + 45% of the Net Revenue
4.4 The Company will pay the Affiliate commission on a monthly basis for New Customers during the term of the Agreement. The size of the monthly commissions for all New Customers referred to the Company under this Agreement will, however, correspond with the size of the commission for the current calendar month, for which the commission is to be determined in accordance with what has been described above. Example: During the first calendar month of this Agreement, three (3) New Customers are referred to the Company by the Affiliate Sites and the Affiliate therefore receives a commission of 30 % of the Net revenue shares. During the second calendar month, only one (1) New Customer is referred by the Affiliate Sites
. The size of the commission (the Affiliate's percentage share of the Net revenue) when only one (1) New Customer is referred is 25 %. The second calendar month the Affiliate therefore receives a commission of 25 % for the New Customer of that calendar month, as well as for the (3) three New Customers from the previous calendar month. During the third month, six (6) New Customers are referred by the Affiliate sites and the level of commission is 35 %. Hence the third calendar month the Affiliate receives a commission of 35 % for the six (6) New Customers of that calendar month, as well as for the four (4) New Customers which have been referred during the two previous calendar months.
4.5 The Affiliate understands and accepts that the size of the commission (the Affiliate's percentage share of the Net Revenue) will vary from time to time depending on how many New Customers are referred to the Website by the Affiliate Site(s) during each calendar month.

Affiliate Payments
4.7 Payment of commissions shall be made as per by the payment method chosen by the Affiliate in the application process. The minimum payout level is 100 Euro , if except in the case where the affiliates selected payment method is a U.S bank account. In the payment method is a U.S bank account then the minimum payout level is 500 Euros. If the commission is lower than the minimum payout level, the commission will be transferred to the next coming following month. If an error is made in calculating the Excess commission , amounts received by the Company reserves Affiliate shall upon request be immediately repaid together with annual interest at a rate which by 6 percentage units exceeds the reference rate 3 month Euribor. The Company shall have a right to correct such calculation at deduct any time and will immediately pay out underpayment or reclaim overpayment made to the Affiliatepossible overpayments in previous months from outstanding payment obligations.
4.8 If the Affiliate disagrees with the balance due as reported, it shall within a period of thirty fourteen (30) 14) days send an email to the Company at pernilla.rutgersson@mrgreen.com affiliates@msl-limited.com or such other email address as notified in writing by the Company to the Affiliate and indicate the reasons of such dispute. Failure to report within the prescribed time limit shall be deemed an acknowledgment of the balance due for the period indicated.
4.9 The Affiliate agrees to return immediately repay, together with an annual interest at a rate which by 6 percentage units exceeds the reference rate 3 month Euribor all commissions received based on by fraudulent or falsified transactions, or when the traffic generated is illegal or contravenes any provision of these terms and conditions, plus all costs for legal causes or actions that may be brought against the Affiliate.
4.10 The commission is inclusive of any and all taxes, including but not limited to value added tax. The Affiliate is solely responsible for the payment of any and all taxes, fees, charges and any other money payable or due both locally and abroad to any tax authority and/ or any other authority as a result of the revenue generated under this Agreement.
4.11 The Affiliate, acting in a private capacity, further undertakes to self-pay any applicable social security contributions on the remuneration received under this Agreement.
4.12 The Affiliate, acting within a business activity, is required to provide an F-tax card or other proof of company registration such as a VAT-number to Company as further specified from time to time by the Company at its sole discretion. Otherwise, the Affiliate is considered acting in a private capacity and clause 4.7 directly above will be applicable.
4.13 All payments shall be made in Euro or in such other currency that may be determined by the Company and regardless of the currency of the Affiliate's home country.
4.14 The Company has the right to withhold any and/or all payments to the Affiliate if the Affiliate is in breach of any of the provisions of this Agreement. If for whatever reason the payments made
4.15 Any commissions paid to the affiliate have a higher incremented valueAffiliate by the Company hereunder shall represent the Affiliate's sole remuneration for its activities under the Agreement. Hence except as otherwise expressly agreed in writing, Mr Green would have all expenses incurred by the authority to revoke or deduct that money from Affiliate when carrying out the month's rights and obligations under this Agreement shall be deemed to comebe covered by the commission provided for in this Agreement. The Affiliate is responsible for all obligations and costs in connection with the performance of this Agreement.


Term and Termination
6. Term and Termination
6.1 This Agreement shall commence be binding on the date of Affiliate once the Affiliate's acceptance of Affiliate Application has been submitted but shall not be binding or enter into effect in relation to the Agreement as part of Company until the registration process, Affiliate Application has been approved by the Company according to Clause 2.1 and shall thereafter continue hereafter unless and until terminated as provided in this Agreement.
6.2 Either party may during the first year at any time terminate this Agreement without cause by giving the other party thirty fourteen (30) 14) days' notice in writing according to 8.1. For each additional year the Agreement has been in effect, the notice of termination shall be given with an additional thirty (30) days' notice, up Neither party will have to a six (6) months' notice, when pay the Agreement has been in effect for six years other any costs or longer. Written notification may be given by emaildamages resulting from termination of this Agreement without cause.
6.3 Should the Affiliate commit a breach of the terms of this Agreement, the Company is entitled to terminate this Agreement in writing with immediate effect by giving written notice of termination to the Affiliate. Written notification may be given by email or pop-up message according to 8.1.
6.4 The Affiliate hereby agrees that on termination of Company is entitled to terminate this Agreement , with immediate effect by giving written notice of termination to the Affiliate must remove all references to in the Website event that a) the Company identifies suspicious betting patterns that suggest activity where New Customer(s), are benefiting for instance from incentives from the Affiliate Sites and to recoup losses and/or other fraudulent activities. The Company also reserves the right to withhold any communicationsearnings accumulated from such game play. b) proceeding in bankruptcy, irrespective of whether insolvency or liquidation is instituted by or against the communications are commercial Affiliate, or otherwiseif the Affiliate ceases to do business in the ordinary course.
6.5 Upon the any termination of this Agreement, all rights and licenses granted to the Affiliate under this Agreement shall immediately terminate, and the Affiliate will cease the use of any trademarks, service marks, logos and other designations of the Company. In particular the Affiliate hereby agrees that on any termination of this Agreement, the Affiliate must immediately (i) remove all references to the Website from the Affiliate Sites and (ii) shall cease any further activity promoting or marketing the Website, Mr Green and/ or the Company, irrespective of whether the communications are commercial or otherwise.
6.6 The Affiliate must return to Company any and all confidential information Confidential Information (and all copies and derivations thereof) in the Affiliate's possession and control.
6.7 The Affiliate will only be entitled to already earned and unpaid commissions, even after the effective date of termination provided the termination is not based on a breach by the Affiliate. However, the Website Company may withhold the Affiliate's final payment for a reasonable time to ensure that the correct amount is paid. For the avoidance of doubt the Affiliate understands and accepts that if this Agreement is terminated commission will no longer be paid to the Affiliate.
6.8 The Affiliate shall not be entitled to reimbursement of any amount for any advertising, market development, investments, leases or other costs incurred before any termination of this Agreement. Without limiting the foregoing the Affiliate hereby irrevocably waives any right it may have under applicable legislation to an indemnity, damages, or compensation as a consequence of any termination of this Agreement in accordance with the terms of this agreement.

6.9 The parties specifically agree that upon any termination of this Agreement by either party, the Affiliate shall no longer be entitled to earn or receive any payment, including but not limited to commission as provided for in clause 4, whatsoever from the Company.
6.10 The Affiliate will release the Company from all obligations and liabilities occurring or arising after the date of termination, except with respect to those obligations that by their nature are designed to survive termination. Termination will not relieve the Affiliate from any liability arising from any breach of this Agreement, which occurred prior to termination and/or to any liability arising from any breach of confidential information even if the breach arises at any time following the termination of this Agreement. New Depositor means a new customer who: has created a new Unibet player account, registering immediately and directly after have been led by his last click/refer from the Affiliate Site or Advertising Space to one of Unibets websites, : a customer will be tagged to the last affiliate who referred him to Unibet; has made, in accordance with the existing terms and conditions, as varied from time to time, which it the Customer has accepted, a first minimum deposit with Unibet, and which deposit is used for bona fide transactions with an ultimate aim to establish and enter into a normal commercial relationship with Unibet within the framework of the Business , (the customer registration and the first deposit do not have to be simultaneous); is not already in Unibets customer Database, even if the customer has previously closed his Unibet player account and opened a new one coming through the Affiliate. The above conditions are cumulative.


Marketing Rules
Affilite Shall Not; 4.9.16 promote Unibet and/or create pages using Unibet brand in any social media (such as, but not limited to, Facebook, Google +, Twitter).


Minimum Activity Rule
6. COMMISSION, PAYMENT AND PAYMENT TERMS 6.5 Unibet reserves the right to terminate the Agreement if the Affiliate did not generate any click on the Links for three consecutive months. 6.6 Unibet reserves the right to reduce the Affiliates commission if the Affiliate substantially reduces its efforts to promote Unibet.

Company Name Adjustment
From the 1st of March 2013, all rights and obligations Unibet (London) Limited has under the Agreement will entirely be transferred to Unibet Services Limited, a company duly registered under the laws of Malta by means of registration No. C58843, having its registered office at Fawwara Buildings, Msidia road, Gzira, GZR1405, Malta. From this date, any reference made to Unibet or to Unibet (London) Limited shall be understood as Unibet Services Limited.


Unibet API
5. UNIBET API 5.1 In case the Affiliate is granted by Unibet the possibility to use Unibet API in order to obtain feed for advertising banners the affiliate can use on its website to promote Unibet, the Affiliate guarantees not to: communicate to any third party its username, password, key and any others identifiers enabling access to the Unibet API platform, enable any third party to access the Unibet API in any way, provide any feed from the Unibet API platform to any third party. 5.2 The Affiliate understands and acknowledges that the Unibet API is a Beta version, that can contain some bugs or technical failure. Unibet shall not be responsible for any bug, virus, technical failure, loss of data, damage caused to the material of the Affiliate, total or partial availability of the Unibet API, nor for any error occurring on the Unibet API platform or on the Affiliates website.


Commissions Invoices
6.12 7.12 Affiliate commissions that do not require VAT to be added are processed automatically through the NetRefer technical platform without the need for the Affiliate to raise an invoice. Payments shall be made approximately between the 10th and 15th in the following calendar month. If the Affiliate is registered for VAT or wishes for VAT to be added to the monthly commission, it shall invoice Unibet before the 5th day of the month following the month for which the commission is to be paid. Failure to submit a valid invoice by this date will result in possible delay of payment to the following month. The invoice shall mention the PO number provided by their affiliate manager, and be addressed by email to ULL_invoices@unibet.com. For all services provided to Unibet from the 1st of March 2013, the Affiliate shall invoice Unibet Services Limited instead of Unibet (London) Ltd, 4th Floor Wimbledon Bridge House, 1 Hartfield Road, LondonLimited, SW19 3RU and email send invoices e-mail to ULL_invoices@unibet.comUSL_invoices@unibet.com.

BeAffiliates (ROGUE PROGRAM) updates their terms and conditions by adding a rakeback clause, territory restriction clause(s), rakeback, minimum activity rule, and more.

Commission Structure Moved
1.4 Commission Fees means the sum payable to you calculated on the Net Revenue Basis (as set out at Clause 4.3 belowhttps://www.beaffiliates.com/reward-plans-com/) or as may have otherwise been subsequently confirmed to you in writing. If we notify you of a different commission structure in writing, that commission shall, once agreed, take precedence over that published at Clause 4.1 https://www.beaffiliates.com/reward-plans-com/ from time to time;


Add / Remove Properties
1.8 Sites means any one or all of the following: www.montecarlocasino.com, www.expekt.com, www.betclic.it, www.betclic.com and www.everestcasino.com, www.everestpoker.com, www.everestpoker.net, everestcasino.net, www.imperialcasino.com and any other website which we may notify you in writing from time to time in respect of the territory or the product which we have mutually agreed you shall promote;


Active Players - Country Restrictions
3.2 Tracking of Active Players: We shall register suitable New Customers, and track your Active Players bets and plays making available to you a report summarizing their activities, which you can access from this website. Please note Active Players accounts may be terminated by us on a per country basis in the event that we no longer wish to promote our Sites as we may determine in accordance with our policies, applicable law, and the relevant Terms and Conditions from time to time. The corresponding Active Players shall be removed from the tracking associated with your account.


Territory Restrictions
3.7 Prohibited Jurisdictions:You shall not be eligible to earn any Commission Fees in any jurisdiction in which we have decided, at our sole discretion, we do not wish to market the Sites. Note that there are a number of other jurisdictions (which may differ between the various brands) for which customer registrations are not accepted, and that you shall be responsible for checking that customers are accepted in a particular territory for each relevant Site, prior to your promoting that Site in the relevant jurisdiction. Please be aware that breach of this section may result in very serious consequences for you, for us, or for both Parties, including without limitation, fines, penalties, breaches of license conditions and ability to do business, potential criminal action against yourself or us by the applicable authorities. Without prejudice to any of our rights herein or at law, we may forthwith terminate this agreement, and you shall be held fully responsible and liable for any such resulting fine, penalty, claim, action, or loss which is caused to us.


Site Changes
3.8 Style Changes: Should you decide to change the style or layout of any of your website(s) on which we advertise, you shall promptly inform us in order for it to be able to make or procure the making of any necessary modifications to its Advertising Materials. Where the proposed new style or layout of the aforementioned website(s) does not permit you to provide advertising space as set out in the Advertising Materials, you shall replace the advertising space to our' satisfaction with advertising space on your newly styled website(s) equivalent in terms of prominence and space.


Rakeback
3.14 Rake-Back is a discount offered to poker players by operators or their affiliates, skins or other business associates or partners. The discount is awarded through the player's account or in any other way, in accordance with a specified percentage of the rake and tournament entry fees that were generated by the player. You are not permitted to offer any Rake-Back or so-called Rake-Back schemes whatsoever, or any similar schemes that offer or allow a portion of the players' rake or tournament entry fees to be returned to the player in any form. You shall not be permitted to advertise its site in, accept traffic from or otherwise be engaged with, any affiliate site or skin that offers Rake-Backs. Kindly not that breach of this section without our express and prior permission shall result in an automatic fine to us, which shall be passed on to you directly and which is capped at ?30,000.


Payment, Minimum Activity Rule
4. Payment of Commission Fees 4.1 Subject to your compliance with the terms of this Agreement, you will earn Commission Fees calculated on a per account basis (in the event you have more than one account with us) as set out here based on the Net Revenue Basis of your referred and approved Active Users. Kindly note that each of your BeAffiliates account Beaffiliates accounta (if you have more than one) must have a minimum of 5 Active Customers before you will be eligible for Commission Fee payment. You are entitled to one payout per calendar month per account, provided you have fulfilled the above requirement at the end of the preceding month and complied with the provisions of Clause 4.3. In the event that we notify you of a new commission expressly deviating from the commissions set out above, the new commission agreed with us shall prevail. 4.2 One-Time Bonus Offer: Furthermore, as result of your new membership into the BeAffiliates Beaffiliates Program you shall be entitled to a one-off bonus commission of ten percent (10%) over and above any Commission Fees earned by you in the relevant period whether in respect of Betclic, MontecarloCasino, EverestPoker, EverestCasino, Imperial Casino or Expekt marketing subject to your fulfillment of the following condition for each and every account which you hold with us: you must recruit at least ten (10) New Customers by the end of the first full calendar month following your acceptance into the BeAffiliates Beaffiliates Program. The bonus commission is then paid over and above Commission Fees earned until the end of the relevant calendar month provided this condition is fulfilled. This means that if your acceptance is confirmed before the 1st of the month before 23:59 then that month shall count as the first calendar month for the purposes of determining the period of application of the bonus offer and the period in which the ten (10) New Customers on that account must be recruited, all other applications shall run from the first of the subsequent calendar month following confirmation of acceptance into the program. This offer is only available to each affiliate once account (and will not be applied automatically in the event you terminate and then re-join the BeAffiliate Beaffiliate Program for whatever reason). If no commission is earned during the relevant period, this offer expires without ability to roll-over to subsequent months. 4.2 4.3 Should your payment be less than EUR 100 or currency equivalent (or with respect to Japan EUR 500 or currency equivalent), we reserve the right to roll it forward to future months for payment. 4.5 Commission Fees will be calculated on a cumulative basis derived from available Net Revenue Basis between all products and over all our Sites derived on one account resulting in the total Net Revenue Basis derived from the sum of both positive and or negative revenue from each product for any calendar month (or part thereof)thereof) on the relevant account. 4.54.6. You are eligible for payment on the balance of your sports, casino, poker, or games earnings across all brands as may be applicable, operated on each of the Sites:Sites applicable to that account. Negative commission balances in either sports, casino, poker, or games will be deducted from available commissions on any of the other products, or on any of the other brands whether Expekt, Betclic, Everest or MonteCarloCasino (excluding for the avoidance of doubtEverestCasino, betclic.frEverestPoker, if applicable)Imperial Casino or MonteCarloCasino tracked on that account. 4.6 4.7 If the Net Revenue Basis generated in respect of any calendar month (or part thereof) shall be zero or a negative figure when assessed across all of the brands for which you provide Services, such figure shall be carried forward to any following calendar month (or part thereof) in respect of the relevant account and for the avoidance of doubt may, at our discretion, be offset against the Commission Fees otherwise due for any following calendar month (or part thereof).

Advertising Materials
6.3 You shall not be entitled to destroy Advertising Materials without our prior written consent. You must return these to us within (i) 5 days from receipt of a written request from us to do so at any time throughout the term of this Agreement; or (ii) within 5 days from termination of the Agreement (whichever is earlier)


Modification of Agreement
11. Modification We may modify any of the terms and conditions contained in this Agreement or replace it at any time and in our sole discretion, by posting a change noticeor a new agreement on our site, which we will notify to you at the e-mail address you provided when you join the BeAffiliate Program. Modifications may include, for example, changes in the scope of available Commissions, exclusions to certain territories in which we operate or promote our products from time to time, any assignments to group companies and further, to these BeAffiliates Program rules.


Summary: Most of these changes are not predatory, however, BeAffiliates is a known ROGUE and their Minimum Activity Rule is among the worst (requiring 5-10 players per month).
