4. Affiliate Program 4.1 Affiliate will within 10 business days following the Commencement Date include one or more Links on each of Affiliates Website(s), and will maintain those Links on each of Affiliates Website(s) during the Term. 4.2 WMS may from time to time during the Term request amendments to the Links and/or Affiliates Website for the purpose of ensuring consistency and quality in the use of WMS, WMS Gaming Inc., or any other Related Companys trade marks and branding, and to the extent that such requests are reasonable Affiliate will make such amendments within 7 business days of the request.

7.3 Trigger Payment: If the Payment to be made in any given month is lower than £250, then Affiliate will not receive the Payment for that month. In such event, such Payment instead will carry over to the following month for inclusion in that following month's Payment. Such carrying-over may occur indefinitely ; provided, however, that if the total Payment (including carry-over amounts) fails to meet or exceed £250 in each of six (6) consecutive months during the Term, then (1) WMS shall have the right to terminate the Agreement immediately and (2) upon any such until termination , the total Payment (less transaction charges) as of the effective date of such termination will be paid by WMS to AffiliateAgreement.

. 7.12 Sub-Affiliates Affiliate will be entitled (once approved) to receive from WMS a payment equivalent to two percent (2%) of all payments received from WMS by each Sub-Affiliate. Once affiliate account has been created please contact affiliates@wms.com requesting to refer affiliates. Sub-Affiliates may not be directly or indirectly owned or controlled by Affiliate or any members of Affiliate's family, and Affiliate shall not be entitled to any payment under this Agreement in relation to such prohibited Sub-Affiliates. In the event that any payment to a Sub-Affiliate is reclaimed under the terms of its agreement with WMS or payments are made to you in breach of subsection (b) above, Affiliate will promptly repay the amount paid on receiving notice from WMS. All payments under this clause 7.12 will terminate when payments to the relevant Sub-Affiliate end for whatever reason. WMS may change the level of any payment due under subsection (a) above in respect of future Sub-Affiliates that Affiliate refer at any time by giving prior notice to Affiliate.

5. UNIBET API 5.1 In case the Affiliate is granted by Unibet the possibility to use Unibet API in order to obtain feed for advertising banners the affiliate can use on its website to promote Unibet, the Affiliate guarantees not to: communicate to any third party its username, password, key and any others identifiers enabling access to the Unibet API platform, enable any third party to access the Unibet API in any way, provide any feed from the Unibet API platform to any third party. 5.2 The Affiliate understands and acknowledges that the Unibet API is a Beta version, that can contain some bugs or technical failure. Unibet shall not be responsible for any bug, virus, technical failure, loss of data, damage caused to the material of the Affiliate, total or partial availability of the Unibet API, nor for any error occurring on the Unibet API platform or on the Affiliates website.

Net Poker Commission means total commission and tournament fee income generated by the person to person poker product accessible via the www.BETDAQ.com and www.BETDAQ.co.uk internet sites less any payments to third party software providers, adjustments made for any deposit charges, credit card charge-backs or any other reversal of a payment, fraudulent or otherwise voided or modified transactions, bad debts, the cost of any promotional offers (including but not limited to any sign up bonuses and free bets), and liability to any betting duty or licensing fees for data or other duty, tax or expense that may arise;

5.10.Any form of spam sent (or alleged to have been sent) by or on behalf of an Affiliate may, at Gamesys? sole discretion, result in its account being closed in accordance with clause 12.3 and all funds due being withheld. Gamesys may incur expenses in dealing with complaints and other issues arising from any spam generated mail sent by or on behalf of the Affiliate and these expenses may, at Gamesys? sole discretion, be deducted from the Affiliate?s Commission. Should these expenses not be covered by the Affiliate?s Commission in that month, the Affiliate hereby agrees to indemnify and hold harmless Gamesys and members of the Gamesys Group from and against all losses, damages, costs, expenses, liabilities and claims (including reasonable legal expenses) incurred by or awarded against Gamesys or any members of the Gamesys Group due to or in connection with any breach by the Affiliate of this clause 5.10. 12.3.Gamesys may terminate this Agreement for any reason immediately on written notice to the Affiliate. It is acknowledged, without prejudice to the generality of the foregoing, that Gamesys may elect to terminate this Agreement if Gamesys considers that: (i) a promotion published or operated by the Affiliate is: (i) a) harmful, inappropriate or aimed at undesirable countries; or (ii) b) in any way in material breach of this Agreement; or (ii) if the Affiliate sends or causes to be sent (or is alleged to have sent) any form of spam.

11. CONFIDENTIAL INFORMATION
11.1. Each party undertakes that it will not at any time hereafter use, divulge or communicate to any person, except to its professional representatives or advisers or as may be required by law or any legal or regulatory authority, the terms and conditions of this Agreement or any confidential information concerning the business or affairs of the other party or of any member of the group of companies to which the other party belongs which may have or may in the future come to its knowledge and each of the parties shall use its reasonable endeavours to prevent the publication or disclosure of any confidential information concerning such matters. Any request or direction of any legal or regulatory authority to disclose any such confidential information shall, where reasonably practicable, shall be notified promptly before compliance to the other party who shall be given reasonable opportunity to resist. Neither party shall use any such confidential information except for the performance of this Agreement.
11.2. Notwithstanding clause 11.1, Gamesys shall be entitled to disclose confidential information relating to the Affiliate (which may include contact details and other personal data) to third party complainants (or their professional advisers) if Gamesys believes (in its sole discretion) or a third party alleges that the Affiliate: (i) has infringed the rights of Gamesys or any third party; (ii) is in breach of any applicable law or regulatory requirement; or (iii) has sent or caused to be sent any form of spam.
11.3. Neither party shall make any announcement relating to this Agreement nor its subject matter without the prior written approval of the other party except as required by law or by any legal or regulatory authority.
11.311.4. The Affiliate?s obligations with respect to confidential information shall survive the termination of this Agreement.

12.TERM AND TERMINATION
12.1. This Agreement shall commence on the Commencement Date and remain in effect until terminated in accordance with clauses 12.2, 12.3 or 12.4.
12.2. The Affiliate may terminate this Agreement for any reason upon 7 days? prior written notice.
12.3. Gamesys 12.3.Gamesys may terminate this Agreement for any reason immediately on written notice to the Affiliate. It is acknowledged, without prejudice to the generality of the foregoing, that Gamesys may elect to terminate this Agreement if Gamesys considers that: (i) a promotion published or operated by the Affiliate is: (i) a) harmful, inappropriate or aimed at undesirable countries; or (ii) b) in any way in material breach of this Agreement; or (ii) if the Affiliate sends or causes to be sent (or is alleged to have sent) any form of spam.
12.4. Either party may terminate this Agreement if the other party commits a material breach of any term of this Agreement that is irremediable within 7 days of the day on which such breach first occurred.
12.5. Either party may terminate this Agreement with immediate effect by written notice to the other party if: (i) the other party becomes insolvent or unable to pay its debts within the meaning of section 123 Insolvency Act 1986 or any statutory modification or re-enactment thereof or equivalent provision in another jurisdiction; or (ii) any step, action, application, order, proceeding or appointment is taken or made by or in respect of the other party in relation to the whole or any part of its undertaking for a voluntary arrangement or composition or reconstruction of its debts, a distress, execution, composition or arrangement with creditors, or winding-up, dissolution, administration, receivership (administrative or otherwise) or bankruptcy or ceasing or threatening to cease to do business, or an analogous event occurs to the other party in any jurisdiction to which it is subject.
12.6. Upon termination: (i) the Affiliate shall no longer be entitled to access the Website; (ii) the Affiliate must remove and cease to use and/or distribute (in any way) all of the Brand Marks, all Promotional Content and disable all Links; (iii) all rights and licenses given to the Affiliate in this Agreement shall immediately terminate; and (iv) within 5 days of termination of this Agreement, the Affiliate must immediately return to Gamesys or destroy at its request all the property in the Affiliate?s possession or under its control that belongs to Gamesys, the other companies in the Gamesys Group or any of their licensors and/or contain any confidential information (except Confidential InformationInformation).
12.7. If Gamesys terminates this Agreement, it retains the right to withhold Commission otherwise payable to the Affiliate in respect of the month in which such termination occurs.
12.8. The Affiliate will not be entitled to Commission with respect to Players registered before, on or after the date of termination of this Agreement.
12.9. If Gamesys continues to permit Players who have clicked on Links to register with the relevant Brand Website after termination, this will not constitute a continuation or renewal of this Agreement or a waiver of termination.
12.10. The 12.10.The following clauses of this Agreement shall survive termination of this Agreement: 7, 8, 9, 1010.2, 10.4, 10.5, 11, 12.6, 12.7, 12.8, 12.9, 12.10 and 13, and any other clauses, the survival of which is necessary for the interpretation or enforcement of this Agreement

13.13. This Agreement was last updated on 29 January 11 April 2013 and supersedes any previous Agreementagreement. The updates made on such date are highlighted in this version and will remain highlighted for at least 30 days following such date.

4.12 Heaven Affiliates has the right to withhold and deduct from commission balances any fines imposed by software suppliers, based on fraudulent or rule breaking activities which is carried out by you, the affiliate. This can include knowingly breaking poker network rules, offering illegal inducements to players to encourage game play, or passing back part of your monthly commission to customers as a way of incentivizing them to play under your tracker. Should a fine be charged to Heaven Affiliates from a software supplier, you will be notified of this action within 72 hours, will have your account temporarily locked for review and will receive the fine amount and the monies to be deducted from your commission balance. Should your commission balance be unable to cover the entire fine amount, this will be paid off over future monthly commission amounts until the outstanding balance has returned to zero..

4. TERM AND TERMINATION

4.1. Term and Termination: This Agreement will take effect when you indicate your acceptance of this Agreement on the enrollment form and continue until terminated in accordance with the terms hereof.

4.2. Termination By You:
4.2.1. You may terminate this Agreement, with or without cause, immediately upon written notice to us which you may send by email marked Termination PrimePartners Affiliate Program.
4.2.2. If there is no activity in the Affiliate's account on a specific campaign for forty five (45) days, in which case the campaign will be considered as closed and inactive.
4.2.3. If there is no activity in the Affiliate's account for forty five (45) days, in which case this Agreement will be deemed to have been terminated by the Affiliate without notice

4.3. Termination By Us: We may terminate this Agreement, without cause at any time, upon written notice to you which we may send by email to such email address you have provided to us or by fax to such fax number you may have provided to us. In the event we terminate, we shall be entitled to automatically render any Trackers inoperative.

4.4. Effect of Termination: The following will apply to terminated account:
4.4.1. You shall stop promoting the Site and the Services, and all rights and licenses given to you under this Agreement will terminate immediately;
4.4.2. You shall return all confidential information and cease use of any of Our Marks and the Marketing Materials;
4.4.3. The Operator may withhold the Affiliate's final payment for a reasonable time to ensure that the correct amount is paid and that there are no debts or liabilities owing from you to it. The Operator will be entitled to deduct from any payments due and payable to the Affiliate, any such debts and liabilities due to it, if any.
4.4.4. Any continued access and use by Players of any of the Sites following the termination of this Agreement (if any) shall not constitute continuation or renewal of this Agreement or a waiver of its termination. For the avoidance of doubt, no additional payments will be due from the Us to You in relation to the same.
4.4.5. Sections 2.9, 3.10, 4.4, 5, 7.4, 7.6 and such other provisions as are necessary for the interpretation or enforcement of this Agreement shall survive any termination or expiry of this Agreement.

Games Net Revenue'' means the amount of games bets minus Games winnings amount minus Games bonuses minus fixed fee of 20%.

Revenue Share Plan - Games: 1 or more players per month - 15% Games Net Revenue

3. Rights and Obligations of the Affiliate

3.1 The Affiliate shall perform the services actively, by effectively advertising, marketing and continuously using its best efforts to promote the Website as widely as possible. For the avoidance of doubt, the Affiliate understands and accepts that the Company shall in its sole and absolute discretion determine whether potential New Customers (as defined below in Clause 4.1) shall be accepted or not. The Company shall also in its sole and absolute discretion be entitled to determine whether to close New Customer's account if it, in the sole opinion of the Company, is necessary to comply with the Company's policy and/or to protect the interest of the Company and/or Mr Green.

3.2 The Affiliate will at all times abide with any guidelines of the Company as may be forwarded from time to time (as may be amended from time to time at the Company's sole and absolute discretion). Notices to the Affiliate concerning any such amendments shall be made in writing and will take effect fourteen (14) days' after such notice is deemed to have been received under this Agreement according to 8.1 Written notification may be given by email and/or by pop-up message according to 8.1.

3.3 The Affiliate agrees to only use links, promotion, advertising or marketing material provided within the scope of the Affiliate Program, and no other material relating to the Company and/or Mr Green, unless specifically authorized in writing by the Company. The Affiliate understands and acknowledges that it shall market and refer potential players to the Website at its own cost and expense.

3.4 The Affiliate operates the Affiliate Sites under its own name and risk and is responsible for the development, operation, and maintenance of them as well as for all material appearing on the Affiliate Site(s).

3.5 The Affiliate shall at all times conduct its business in a manner that reflects favorably upon the high quality image of the Company and/or Mr Green. The Affiliate shall engage in good business practice and comply with all applicable laws and regulations. In specific, all of the content of the Affiliate Sites and the Affiliate's marketing activities must be professional, proper and lawful under applicable laws, and in accordance with the terms of this Agreement.

3.6 The Affiliate may not purchase, attempt to register, or register keywords, search terms or other identifiers for use in any search engine, portal, sponsored advertising service or other search or referral service and which are identical or similar to any of the Company's and/or Mr Green´s trademarks or otherwise include the word "Mr Green" or variations thereof, or include metatags on the Affiliate Site(s) which are identical or similar to any of the Company's and/or Mr Green´s trademarks and/or the Website.

3.7 The Affiliate may not use any framing techniques or technology on the Website, or encourage any third party to do so, unless specifically authorized in writing by the Company.

3.8 The Affiliate shall not perform any act which is libelous, discriminatory, obscene or otherwise unsuitable or which contains sexually explicit, pornographic, obscene or graphically violent materials. Further, the Affiliate Site(s) shall not use the Company's and/or Mr Green´s trademarks in any way that may harm Company and/or Mr Green, or their trademark(s), goodwill and/or branding. It is essential that the Affiliate Site(s) reflect positively upon the Website.

3.9 The Affiliate agrees that it shall not generate traffic to the Website by illegal or fraudulent means, particularly but not limited to sending spam, cookie spam or registering as a player. Further, the Affiliate agrees that it shall not make deposits directly or indirectly to any player account through his tracker(s), or in any other way attempt to artificially increase the commission payable or to otherwise defraud the Company. Violation of this provision shall be deemed to be fraud.

3.10 The Affiliate agrees that it will not present the Affiliate Site(s) in such a way that it might give rise to confusion with the Website and/or Mr Green and/or the Company.

3.11 The Affiliate shall not promote the Company, Mr Green or the Website and/or create pages using Mr Green trademarks, brands or slogans in any social media. 3.12 The Affiliate shall not target any person who is under the legal age for gambling, nor target any jurisdiction where gambling and the promotion thereof are illegal.

3.13 The Affiliate shall indemnify and hold harmless the Company, Mr Green and each of its affiliates, directors, officers, employees, shareholders, attorneys, agents and partners (the ''Indemnified Party'') from and against any and all losses, demands, claims, damages, costs, expenses (including without limitation consequential losses and loss of profit, reasonable legal costs and expenses) and liabilities suffered or incurred, directly or indirectly, by the Indemnified Party in consequence of any breach, non-performance or non-observance of this Agreement or any applicable law by the Affiliate and/or any claims related to Affiliate Site(s) or links.

The Merchant's banners and/or text links shall be displayed at least as prominently as any other sales link on the Member site, and if the Member displays or makes accessible to Visitors . Members can also provide descriptive information regarding any vendors whose banners are displayed regard the Merchant Sits(s) on its websites(s). If the Member site, content on the Member shall, subject member site is found to Probability Affiliates' prior written approval of the content thereofbe inaccurate or outdated, include similar descriptive information regarding the Merchant's Site(s)then we may notify you of any changes to your Site(s) that we feel should be made.

1. Preamble and Definitions

1.1. When used in this Agreement, each of the following terms shall have the meaning attributed to it below:

Club shall mean a poker club established using Home Games.

Club Manager shall mean an Internet user who establishes a Club.

Member shall mean an Internet user who is a member of a Club but is not the Club Manager. Commission shall have the meaning given to it in Clause 4.1 below.

CPA Commission means commission calculated on the basis of the number of Qualified Poker Players per month.

Effective Date shall mean the date of you executing this Agreement.

Expenses shall mean freerolls, bonuses or promotional amounts given to the player, uncollectible revenues (including any charge-backs, payment reversals etc.), a fixed cost (representing the average redeem value of each FPP or FTP as the case may be) designated by Rational to each VPP FPP or FTP earned by a player on the PS Site(s) or FTP Site(s), as the case may be, a fixed amount for legal, branding and operational costs, applicable local gaming taxes payable by PokerStars the Operator (at the rate in force on the date of due payment) and/or reasonable payment processing services charges that are paid by Rational to third parties in respect of the player's deposits and cashouts.

FPP's Shall mean the reward points which are also known as ''Frequent Player Points'' and which shall be awarded by PokerStars the Operator to Qualified PS Poker Players playing real money tournaments and ring games only (thereby excluding, without limitation, FPPs earned as tournament awards, for surveys, Customer Service Representative (CSR) credits) under such terms as shall be published on the PS Site(s) and as such shall exist from time to time.

FTP Site(s) shall mean those Sites which are identified as being operated under the Full Tilt Poker brand under Section 2 of Annex A.

FTPs shall mean the reward points which are also known as ''Full Tilt Points'' and which shall be awarded by the Operator to Qualified FTP Poker Players based on the amount of Rake taken from each hand and each Qualified FTP Poker Player's proportional contribution to the Rake.

Gross Revenue shall mean the aggregate of a Qualified Poker Player's Ring Game Gross Revenue and Tournament Gross Revenue.

Group means Rational together with its subsidiaries and any holding company of Rational and any subsidiary of such holding company and any associated company with Rational including, but not limited to associated companies providing services under the trade mark ''PokerStars'' and ''Full Tilt Poker''.

Home Games shall mean PokerStars' the online poker service operated by the Operator called Home Games, which is available via the PS Site(s).

Link(s) shall mean the banners, text links and other links all linking to the Site(s) posted on the Website(s).

Marketing Codes shall mean the unique alphanumeric string provided by PokerStars the Operator for the purposes of tracking the number of Qualified PS Poker Players and calculating the amount of Commission due to the Affiliate.

Pot shall mean the central fund/pot containing all players' wagers during each ''real money'' game of poker on the Site(s).

Programme Site shall mean the site located at http://www.pokerstarspartners.com or other sites as designated by PokerStars Rational from time to time.

Qualified FTP Poker Player shall mean an Internet user without a prior user account on any site owned or operated by PokerStars the Operator including a User Account (except a User Account on a PS Site) who (i) accesses the FTP Site(s) directly through a Link and downloads and installs the software; (ii) opens a new User Account; and (with respect to CPA Commission only) (iii) earns, by way of cash deposit into their User Account, the minimum number of FTPs required, as notified by Rational to the Affiliate.

Qualified Poker Player shall mean either a Qualified PS Poker Player or a Qualified FTP Poker Player.

Qualified PS Poker Player shall mean an Internet user without a prior user account on any site owned or operated by the Operator including a User Account (except a User Account on an FTP Site) who (i) accesses the PS Site(s) directly through a Link or enters a Marketing Code and downloads and installs the software; (ii) opens a new User Account; and (with respect to CPA Commission only) (iii) earns, by way of cash deposit into their User Account, the minimum number of VPPs FPPs required, as notified by Rational to the Affiliate.

Rake shall mean the proportion retained by or on behalf of PokerStars the Operator or one of its affiliated companies from the Pot.

Revenue Share shall mean commission calculated on the basis of monthly Gross Revenue less monthly Expenses.

Ring Game Gross Revenue shall mean the sum total of a Qualified Poker Player's contributions to Rakes in a Ring Game Hand while playing on software downloadable from the Site(s). Any Qualified Poker Player's contribution to a Rake shall be determined by dividing the total amount that a Qualified Poker Player has contributed to the Pot in any Ring Game Hand by the size of the Pot in that Ring Game Hand and multiplying it by the total Rake taken from that Pot in that Ring Game Hand regardless of the number of players dealt in such Ring Game Hand.

Ring Game Hand shall mean those hands played at tables where chips wagered represent fixed amounts of player funds that are purchased with player funds when the player begins play and redeemed at the same rate at the end of play.

PS Site(s) shall mean those Sites which are identified as being operated under the PokerStars brand under Section 1 of Annex A.

Site(s) shall mean the Internet sites which the Affiliate is permitted to market and promote pursuant to the terms of this Agreement as specified in Annex A to this Agreement as may be updated from time to time.

Threshold Commission shall mean: (i) US$75 (seventy five US dollars); or, (ii)US$150 (one hundred and fifty US Dollars) in the case of Affiliates receiving Commission via wire transfer pursuant to Clause 4.4; or (iii)the Euro equivalent of the amounts in (i) or (ii) as of the date of payment of the Commission.

Tournament shall mean real money tournaments played on the Site(s) consisting of hands played at tables where chips wagered have no real value but instead determine the amount paid out to players when the tournament ends based on predetermined criteria.

Tournament Fees shall mean the fees retained by or on behalf of PokerStars the Operator or one of its affiliated companies from the ''buy-ins'' paid by Qualified Poker Players registering for a Tournament.

Tournament Gross Revenue shall mean the sum total of the Tournament Fees paid by a Qualified Poker Player while playing in Tournaments on software downloadable from the Site(s).

Tracker shall mean the unique tracking hyperlink (URL) to the Site(s) provided by Rational to the Affiliate for the purposes of tracking the number of Qualified Poker Players and calculating the amount of Commission due to the Affiliate.

Trade Marks means any trade mark used, registered, or applied for by PokerStarsRational or any entity existing within the Group, including, but without limitation, those listed in Annex B hereto as may be amended from time to time ''POKERSTARS'', ''POKERSTARS.COM'', ''FULL TILT POKER'', ''FULLTILTPOKER.COM, ''EPT'', ''LAPT'' and ''APPT''. 'APPT''..

Trade Secrets means any know-how,trade know-how, trade secrets, marketing information, business plan, market information, customer lists, network clients list, suppliers' information, confidential information or other related confidential information concerning or relating to the activities of PokerStars Rational or any entity existing within the same corporate group in which PokerStars existsGroup.

User Account shall mean a personal player account on a Site opened in accordance with the applicable terms and conditions governing access to and use of that Site.

VPPs shall mean the reward points which are also known as ''VIP Player Points'' and which shall be awarded by PokerStars to Qualified Poker Players playing real money tournaments and ring games only (thereby excluding, without limitation, VPPs earned as tournament awards, for surveys, Customer Service Representative (CSR) credits) under such terms as shall be published on the Site(s) and as such shall exist from time to time.

Website(s) means those website(s) that are owned and/or controlled by the Affiliate and which are submitted by the Affiliate as websites that are to be included in the Programme.

4.8. The Affiliate shall not be entitled to receive any Commission from Rational for a new User Account opened through a personal computer or mobile device (including, without limitation, a desktop computer, portable computer, cellular phone, PDA, tablet, or any other type of cellular device now exist or hereafter devised) (each, a ''Device''), if a User Account has previously been opened through use of such Device (unless such new User Account was on a PS Site and the existing User Account was on a FTP Site or vice versa), regardless of whether the Affiliate was entitled to receive from Rational a Commission for such User Account.

5.5. The Affiliate undertakes, if the form of Commission that it receives from Rational is based on Revenue Share pursuant to Clause 4.1 above, to generate a minimum of 1 (one) Qualified Poker PS Player for each PS Site which it markets pursuant to this Agreement (for Revenue Share generated from the PS Sites) and 1 (one) Qualified Poker FTP Player for each FTP Site which it markets pursuant to this Agreement (for Revenue Share generated from the FTP Sites) per calendar month.

5.11. The Affiliate acknowledges that the placement of the Link(s) on the Website(s) and the Affiliate's conduct as an affiliate has the potential to inflict substantial damage to PokerStars' the Trade Marks , and to the reputation and goodwill of Rational and any entity existing within the Group and that the Affiliate shall at all times act in a manner that will not harm such Trade Marks, goodwill and reputationof PokerStars.

8. Term and Termination

8.1. This Agreement shall come into effect from the Effective Date and shall continue in full force until it is terminated in accordance with the provisions set out herein.

8.2. You may terminate this Agreement at any time, with or without cause upon written notice to us.

8.3. In the event of the occurrence of any of the following: (i) a breach by the Affiliate of any clause of this Agreement; or (ii) in the reasonable opinion of Rational, you have acted in a manner that undermines the nature of this Agreement; or (iii) the Affiliate's User Account is closed by PokerStars the Operator for any reason whatsoever, Rational retains full authority (without prejudice to its other rights or remedies under this Agreement, any other agreement, at law or otherwise) to (i) terminate this Agreement immediately and/or (ii) indefinitely withhold from the Affiliate any Commission accrued to the Affiliate's benefit directly as a result of the breach.

8.4. We may terminate this Agreement at any time on 7 days' written notice.

8.5. In the event that the Affiliate makes any assignment for the benefit of its creditors or makes any composition with creditors; or has appointed, or shall be the subject of any notice of a receiver or holding company; or shall be the subject of a voluntary or compulsory liquidation (other than for the purpose of a solvent reconstruction or amalgamation); or is made the subject of any administration order or insolvency procedure or such analogous event; or ceases to carry on business or (being a natural person) is deemed either unable to pay its debts or as having no reasonable prospect of so doing we may terminate this Agreement immediately.

8.6 Without limiting any other rights and remedies of Rational under this Agreement, Rational may terminate this Agreement immediately if it determines in its sole discretion that the Affiliate has become a competitor of Rational and/or any other entity within the same corporate group as PokerStarsGroup.

8.7. Termination of this Agreement shall not extinguish either of the parties' obligations under this Agreement which by their terms or context are intended to survive the termination of the Agreement.

8.8. Notwithstanding Clauses 8.5 and 8.6 above and for the avoidance of doubt, it is hereby clarified that Rational shall not be liable to pay any Commissions for Qualified Poker Players where such Qualified Poker Players are generated by the Link(s) and/or Marketing Codes following the termination of this Agreement.

8.9. Following the termination of this Agreement and the payment to the Affiliate of monies due to it as at the time of termination, Rational shall have no obligation to make any further Commission payments to the Affiliate.

8.10. Upon termination the Affiliate shall immediately remove from the Website(s) and cease to use all Link(s), Marketing Codes Trade Marks and any other materials of any form provided by or on behalf of Rational to the Affiliate pursuant to this Agreement and all licenses and rights granted hereunder to the Affiliate shall immediately terminate. The foregoing shall not prevent you linking to the homepage of the Site to the extent that you do so for your own personal, non-commercial use in connection with Home Games. Upon termination of the Agreement, the Affiliate will promptly return to Rational any confidential information in its control or possession.
