If Net Casino Revenue is in a negative position that negative amount will NOT be recovered from you and at the beginning of each month any negative position will be set at zero. If Net Casino Revenue for a given payment calculation period is a negative amount, that negative amount will NOT be recovered from you but it will be carried over into the following payment period and shall be included as a deduction when calculating Net Casino Revenue in respect of such period.

4.9 There will be no negative carry over applied to affiliates as a result of customer losses.

13. TERM AND TERMINATION 13.1 This Agreement shall commence on the Commencement Date and, subject to clause 13.2, shall continue until either party serves 20 Business Days written notice of an intention to terminate. 13.2 BETDAQ may terminate this Agreement immediately in the event that the Affiliate (a) breaches any of the terms of this Agreement which, in the case of a breach capable of remedy, has not been remedied within seven days of receipt of a notice from BETDAQ specifying the breach and requiring its remedy; (b) is unable to pay its debts as they fall due or make any voluntary arrangement with its creditors, become subject to an administration order, have an administrative receiver or receivers appointed in respect of the whole or any part of its assets, go into liquidation (voluntary or otherwise save for any voluntary liquidation entered into solely for the purposes of a bona fide reconstruction or amalgamation) or be made the subject of a bankruptcy order or ceases or threatens to cease carrying on its business; (c) in BETDAQ's opinion, is in breach of the terms of any applicable advertising code of practice (Advertising Standards Authority - http://www.cap.org.uk/The-Codes/CAP-Code.aspx?q=CAP%20Code%20new_Specific%20Category%20Sections#c4) or; (d) does not introduce any new active customers to BETDAQ for a period of six (6) months.

"Payment Service Provider" means a 3rd party with whom we have an arrangement to process money transfers. AND . Upon confirmation of money transfer from us to the Payment Service Provider, we shall not be liable for any damages, loss or cost suffered or incurred by an Affiliate (including any damages, loss or costs suffered or incurred as a result of a failure to pay or delay in payment).

3.2 Licence to use Intellectual Property - On registration We shall and hereby grant to You a non-exclusive, non-transferable licence, during the term of this Agreement, to use Our and Our Merchants' trademarks, service marks, trade names, logos, designations, copyrights and other proprietary rights (Intellectual Property''Intellectual Property'') (licensed, in turn to Us from their owner) solely in connection with the display of the banners on Your site, and strictly for no other use whatsoever thereof. Any breach of such Intellectual Property rights, may result in penalties, as more fully set out hereunder. AND 4.8 License to use Intellectual Property - The license granted to You in terms of clause 3.2 above may not be sub-licensed, assigned or otherwise transferred by You, and shall only be used for the purposes set out therein. You shall not during the term of this Agreement nor at any time thereafter assert the invalidity, unenforceability, or contest the ownership of the Intellectual Property in any action or proceeding of whatever kind or nature, and shall not take any action that may prejudice Our, Our Merchants' or Our licensor's rights in the Intellectual Property, render the same generic, or otherwise weaken their validity or diminish their associated goodwill. , nor use the license for any other purpose than that for which it is intended, and as set out in clause 3.2

4.13 Limitations of Advertising - a) The use of the licence for any purposes other than that provided for in clause 3.2 and anyuse of whatsoever of domain names, brand names, trademarks or any bid made by you to any Internet search engine on keywords including without limitationwords that are the same, or confusingly similar, to Spin Palace Casino, Ruby Fortune Casino, Piggs Casino, Mummys Gold Casino, Cabaret Club Casino, Jackpots In A Flash, Poker333, Spin Palace Poker, Betway Casino, Betway Poker, Betway Sports, Betway Games, Gnuf Casino, Gnuf Poker and Gnuf Bingotrademarks or words , for any purposes other than that are confusingly similarprovided for in clause 3.2, shall not only be considered to be a breach of the good faith provisions contained in WagerShare Terms and Conditions (see clause 4.6), but also as an unlawful breach of the applicable intellectual property rights. You willIn the event that WagerShare has reasonable cause to believe that any such breach has occurred, at Your own costit retains the unilateral and final right to retain indefinitely any current or future amounts owed to you. Save that, register such mentioned derivative URLs in the name event of WagerShare.com and immediately such breach, WagerShare will first notify WagerShare.com of each derivative URL established and maintained by You. Each derivative URL must host , in writing or by email, that a website breach has occurred, and informing You thatis identical to the corresponding Merchant's URL , as provided to You by Us. Each derivative website must be updated to reflect changes to a result of the provided URL from time breach, commission is retained and/or that failure to remedy the breach within a specified period of time will result in commission being retained. 1.7. ''Net Revenue'' will mean the sum of Deposits Revenues less Redeems generated on your Tracker(s) based solely on our log files. Deduction of Taxes in Regulated Markets where EGO brands operate with a local license will also apply as will licensing for Branded and Live Casino /Poker games.

An active client is defined as a player who has made an initial deposit and proceeded to bet an excess of $100. c) Payment for the preceding month shall be processed by the 15th day of each calendar month. If during the first month of the term of this agreement or during any month following, the Affiliate?s commission does not exceed eighty dollars ($80.00USD), then SIA will accrue the commission to the following month or until the commission fees exceed eighty dollars ($80.00USD). If the Affiliate chooses to be paid via Electronic Transfer, and the Affiliate?s commission does not exceed one two hundred and fifty dollars ($150.00USD), $250.00USD), then SIA will accrue the commission to the following month. d) In the event that the Affiliate?s payment for a month appears as a negative balance, they will not receive commission until the balance has been returned to a positive balance. If an Affiliate has chosen the Net Revenue ? Casino Only commission program, then negative balances are not carried over into the next month.
